Vision Engineering Might Be Sold for Cash

CYPRESS — A Denver company said it intends to acquire Cypress-based Vision Engineering for cash.

Specific financial terms were not disclosed, but the Denver company, Topro Inc., said its acquisition of Vision Engineering likely would involve a combination of restricted shares of Topro common stock and convertible debt or convertible preferred stock.

Topro, which reported revenue of $11.8 million for the fiscal year ended June 30, provides software configuration and system design. Vision Engineering posted revenue of $10 million for 1995.
